Baek Enterprise Terms and Conditions


These Terms & Conditions are subject to change without notice.
A quotation will be effective only 4 weeks after its date of issue. The Company will determine acceptance and/or unacceptance of order subject to the credit status of the Purchaser depending upon payment records of the Purchaser.

The credit term is strictly 30 days to account customers and only as agreed by the Company. The Company may, at the Company's discretion, decide and/or change credit terms, including suspension of credit. There will be no deduction in price, counter claim of any form, with the exact price to be paid as per invoice, with no exceptions. This is regardless of any modifications which may be requested to the Goods, or to do with their performance. In case of cancellation, the Purchaser must inform the Company of any cancellation in writing. If the order is made specifically for only the Purchaser, the Company may at its discretion charge a cancellation fee to 20% of the value of the goods ordered. If the payment is delayed, the Purchaser shall pay interest to the Company on all the monies overdue. The interest rate is based on the annual rate of 8% above base rate of Ulster Bank. The interest will be applied from the date of due payment until the date of actual payment.

If the Purchaser went into bankruptcy, liquidation, under administration order or receivership, the Purchaser shall make immediate payment to the Company the entire pay-ables shown on invoice or statement. In this case, the Purchaser shall pay to the Company in full indemnity all cost incurred to the Company, including all legal costs.
The Company will make every effort to make shipment on time and shall not be liable for the delay in delivery, shipment and any loss or damage whatever. Once the goods are delivered, the Purchaser shall inspect the goods. If there is any damage, incorrect or incomplete delivery, the Purchaser should inform the Company and carrier in writing within 24 hours. Without such notice, the delivery shall be deemed complete. The Company will not be liable for any claim with no such actions taken. If circumstances beyond the Company's control occurs, including, war, labour dispute, shortage of materials, fire, any problem in supplier's operation, flood, hostilities, riots, civil commotion, lock out, site flood, weather, regulation, order or other action of any public authority, or a transportation delays. In this case, the Company's liability shall be confined only to refund the Purchaser for what the Purchaser has already paid. The legal and equitable title to the goods delivered to purchaser by the company, will remain in the Company until the Purchaser has made full payment. Should the Purchaser fail to make full payment, the Purchaser must at their own expense return the goods to the Company. If the Purchaser fails to do so, the Company or the persons appointed by the Company shall have the right to gain access by legal means to any of the Purchaser's premises where the goods are stored or installed and all expenses incurred by this action will be borne by the Purchaser. The Company gives warranty only to the Purchaser, that the Goods will be in the same specification as quoted and fault free for 12 months warranty period (see below for more details) from the date of delivery. The Company shall be liable for breach of warranty confined only to replacing or free repairing of, the detective goods or part(s) of. A credit note against the defective goods may only be issued for the goods returned to the Company within 28 days (from the date of delivery or collection including Saturdays, Sundays and holidays) and for those items that the Company can not repair or replace. For defective goods or goods in need of repair, the purchaser shall make notification in writing to the Company. A RMA (Return Material Authorisation) number will be given by the Company. Then, return the goods with defect immediately. The Company may determine if the replacement goods are required. (The replacement may be considered only for the goods delivered or collected 28 days from notification of defect). In this case, the Purchaser shall return defective goods in the box in which replacement goods were sent out, providing proper protection of the returning goods from possible damages, complete with accessories such as remote control, cables, manual etc. Meanwhile the Company shall be entitled to invoice for the replacement goods and when the suggested defective goods are received, the Company may then give a credit note at its discretion. (If the return were not made within one month from the date of RMA, the invoice shall remain outstanding for the purchaser to pay.) Advance warranty replacement can be either new or like new goods at the discretion of the company. Return will be made at Purchaser's expense and risk with a description of the defect and installation environment if requested by the Company. If the goods returned are found either not faulty or such not attributable to the Company or the manufacturer, the goods shall be taken back to the Purchaser at the purchaser's expense and risk. A payment for inspection may be charged by the Company at its discretion. Faulty goods may be repaired using Manufacturer Certified Repaired parts. If the Purchaser requests back non repairable goods, they will be returned at his expense and risk. The warranty covers only defect in design of workmanship and materials and does not cover normal fair and tear, wilful or accidental damage, damage by electrical surges, various natural causes (e.g. lightening strikes etc), abnormal working conditions, not following manual instructions (oral or written), incorrect installation, taking out from or adding parts to delivered equipment with no written consent by the Company. Data stored in hard disk drives are not covered by the warranty and the Company is not liable for loss of data in hard disk drives. The Company does not have any liability to the Purchaser for expenses, costs, loss or damage, or other claims for compensation in any circumstances (regardless if caused by the negligence of the Company, or in connection with the supply of the Goods) risen by defected goods except as described in these conditions. The Purchaser shall give proper training to its customers. Any manuals, warning signs, packaging and disk(s) which came with the goods shall be kept at the purchaser installation site. Failure to comply with this procedure will invalidate all claims. Dispute shall be dealt with according to the law of N. Ireland and with no exception in the exclusive jurisdiction of the N. Ireland Courts.
